Position: In-House Paralegal / Law Clerk

We are actively seeking an experienced In-House Paralegal or Law Clerk to join our well-established client's Legal team on a temporary basis.
Reporting to the VP & General Counsel, this role is designed to provide immediate support to ongoing legal operations. This position requires a hands-on professional who can quickly step in, manage priorities independently, and ensure continuity across contract management, corporate governance, and compliance activities in a fast-paced environment.
Key Responsibilities:
- Assist counsel in drafting, reviewing, and negotiating a variety of contracts, including NDAs, service agreements, and quality agreements.
- Manage and maintain the company’s contract management system.
- Support corporate governance activities, including maintaining corporate records, minute books, and preparing director and shareholder resolutions.
- Assist with regulatory and compliance filings, including privacy, lobbying, and industry-specific requirements.
- Coordinate with external counsel on litigation matters, discovery responses, and internal investigations.
- Assist with intellectual property filings and management (e.g., trademarks and patents).
- Prepare and maintain standard form templates, agreements, and legal policies.
- Track legal department deadlines, renewals, and compliance requirements.
- Provide administrative support to the Legal team, including expense reports and payment tracking.
- Coordinate Board and Audit Committee meetings, including scheduling and documentation.
- Assist with English–French document translation.
- Handle sensitive and confidential information with a high level of professionalism.
- Execute other duties as required.
Qualifications & Experience:
- Minimum 5+ years of relevant experience in a law firm or in-house legal department
- Diploma or certification as a Paralegal or Law Clerk (Ontario or Quebec accreditation preferred)
- Strong knowledge of corporate governance, contract law, and legal documentation
- Proven ability to work independently with minimal onboarding
- Experience managing contract lifecycle processes and legal records
- Familiarity with regulatory compliance and corporate filings
- Bilingual in English and French is strongly preferred, with translation capabilities considered an asset
- Excellent organizational, communication, and problem-solving skills with strong attention to detail
